As we advised targets through the de-SPAC process, we saw firsthand how fragmented, opaque, and structurally misaligned the market had become — flooded with shelf SPACs chasing uncertain deals, while real founders lacked access to smart, founder-aligned capital.

We realized the SPAC market didn't need more shells. It needed better pathways — curated, cleanly structured, and driven by substance. So we flipped the model.
